TasteDive Terms of Service

Welcome to TasteDive, a platform owned and operated by Qloo Inc. ("Qloo," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of TasteDive, including all content, functionality, and services offered on or through tastedive.com (the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, you must discontinue your use of the Service immediately.

1. Acceptance of Terms

By using TasteDive, you confirm that you are at least 13 years old (or the minimum age required in your jurisdiction) and that you have the legal capacity to enter into this agreement. If you are using the Service on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Changes to Terms

We reserve the right to modify these Terms at any time at our discretion. Any changes will be effective immediately upon posting, and your continued use of the Service constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically for updates.

3. User-Generated Content & License Grant

By submitting, posting, or otherwise contributing data, reviews, classifications, edits, metadata, or other information ("User Content") to TasteDive, you grant Qloo a perpetual, irrevocable, worldwide, royalty-free, sublicensable, and fully transferable license to use, reproduce, modify, adapt, publish, translate, distribute, create derivative works from, commercialize, and otherwise exploit such User Content in any format or medium, for any purpose, including commercial purposes, without any obligation to compensate you.

This includes, but is not limited to, Qloo’s rights to: incorporate your User Content into AI models and algorithms for training, analysis, and service enhancement; utilize contributed classifications, metadata, and sentiment data to generate commercial insights, recommendation algorithms, and advertising applications; develop, license, sublicense, and distribute derivative works, products, and services based on User Content without compensation or attribution; aggregate, analyze, and modify contributed data for the improvement of Qloo’s products, services, and research; retain a fully assignable and sublicensable right to all metadata, classifications, and content derivatives for commercial and non-commercial purposes; and prevent third parties from scraping, reverse-engineering, or using user-submitted content without explicit authorization.

Examples of User Content covered by these Terms include, but are not limited to:

• Classifications of Existing Entities: Assigning attributes such as the ambiance of a restaurant (e.g., "romantic," "casual," "lively"), the characteristics of a brand (e.g., "luxury," "eco-friendly," "minimalist"), or other structured metadata about cultural entities.
• Contribution of New Entities: Adding new hotels, restaurants, brands, music artists, books, or films to the TasteDive platform, including all associated metadata such as descriptions, locations, and key attributes.
• Sentiment Data & Engagement Actions: Providing sentiment classifications on entities, including positive, negative, or neutral opinions, as well as explicit engagement actions such as ‘saved’ or ‘favorited’ indicators applied to entities.
• All Associated Metadata: Any structured or unstructured data submitted alongside content, including user-specified tags, descriptions, links, images, and contextual notes about the nature of an entity.

You acknowledge and agree that all classifications, metadata, and edits regarding cultural entities (e.g., movies, books, music, restaurants, hotels, and brands) contributed by users become the sole and exclusive property of Qloo, and you irrevocably waive any claims to ownership, intellectual property rights, or compensation from any use of your contributions. 4. Prohibited Conduct

You agree not to: use the Service for unlawful purposes or in violation of applicable laws or regulations; post, upload, or distribute false, misleading, defamatory, infringing, or otherwise objectionable content; interfere with or disrupt the normal operation of the Service, including hacking, scraping, or reverse-engineering; engage in competitive benchmarking, unauthorized data extraction, or scraping without prior written consent from Qloo; attempt to impersonate another person, create fake accounts, or engage in deceptive practices; circumvent or attempt to bypass security measures implemented by Qloo; use bots, automated systems, or any software to manipulate data, generate fake interactions, or unfairly gain advantages; engage in any activity that infringes upon or violates the intellectual property, privacy, or publicity rights of others; or attempt to train third-party AI models using data from the Service without explicit authorization.

5. Intellectual Property Rights

All content, software, features, and functionality provided on TasteDive, including but not limited to algorithms, design, metadata, AI-generated outputs, and the TasteDive brand, are the exclusive property of Qloo and are protected by intellectual property laws. You may not copy, distribute, modify, or exploit any part of the Service without explicit written permission from Qloo. Unauthorized use may result in legal action.

6. Privacy & AI Training

By using the Service, you consent to the collection, storage, and use of your data as described in our Privacy Policy. You acknowledge and agree that Qloo may: collect and analyze your interactions, preferences, and contributions to improve AI models and algorithms; utilize sentiment data and behavioral signals for predictive analytics, targeted recommendations, and commercial insights; retain and use anonymized or aggregated user data to enhance TasteDive’s services; and train AI models on user-generated metadata and behavioral data to enhance recommendation systems and commercial applications. 7. Third-Party Services & Links

The Service may contain links to third-party websites, applications, or services. Qloo does not endorse, control, or assume responsibility for third-party content, practices, or privacy policies. Your use of third-party services is at your own risk, and you should review their terms independently.

8. Disclaimer of Warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. Qloo disclaims all warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, and data accuracy.

9. Limitation of Liability

To the fullest extent permitted by law, Qloo shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of data, profits, or business opportunities.

10. Arbitration & Dispute Resolution

Any disputes shall be resolved through binding arbitration in New York, under the rules of the American Arbitration Association. You waive any right to participate in a class-action lawsuit or class-wide arbitration.
